    Terms of Service

    1. Acceptance of Terms

    By accessing or using the Terawatt LLC ("Terawatt", "we", "us", or "our") platform, website (terawattenergies.com), mobile applications, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

    We may update these Terms at any time. Continued use after changes constitutes acceptance. We will notify you of material changes via email or in-app notice.

    2. Description of Service

    Terawatt provides a solar energy platform that connects homeowners with solar design, financing, and installation services. The Service includes:

    • Solar energy production estimates and system design
    • Financing options and cost projections
    • Installation coordination and project management
    • Real-time messaging and customer support
    • Account management and project tracking

    3. Eligibility and Accounts

    You must be at least 18 years old and capable of forming a binding contract. When creating an account, you agree to:

    • Provide accurate, current, and complete information
    • Maintain the security of your login credentials
    • Notify us immediately of any unauthorized access
    • Accept responsibility for all activity under your account

    We may suspend or terminate accounts that violate these Terms or contain false information.

    4. Solar Estimates and Projections Disclaimer

    All solar production estimates, energy savings projections, and financial calculations provided through the Service are estimates only and are not guarantees. Actual results may vary based on:

    • Weather, shading, and environmental conditions
    • Equipment performance and degradation over time
    • Utility rate changes and net metering policy changes
    • Property-specific factors not captured in design tools
    • Changes in federal, state, or local incentive programs

    Tax credits, rebates, and other incentives referenced on the platform are subject to change by the issuing government authority. Consult a qualified tax professional before making financial decisions based on projected incentives.

    5. Third-Party Services

    The Service integrates with third-party providers including but not limited to solar design tools, payment processors, financing providers, mapping services, calendar providers (such as Google Calendar when you choose to connect your account), and communication platforms. Your use of these third-party services is subject to their respective terms and privacy policies. Terawatt is not responsible for the availability, accuracy, or conduct of third-party services.

    Financing products displayed on the platform are offered by third-party lenders. Terawatt is not a lender. Loan terms, interest rates, and approval are determined solely by the financing provider. All financing is subject to credit approval.

    6. Payments and Refunds

    Certain services require payment, including but not limited to site survey deposits and installation fees. By submitting payment, you agree to:

    • Pay all fees associated with your selected services
    • Provide valid and authorized payment information
    • Authorize us to charge your selected payment method

    Refund eligibility depends on the stage of your project and applicable cancellation terms provided at the time of purchase. Refunds for completed work or third-party costs already incurred may not be available. Specific refund terms will be communicated during the contracting process.

    7. Installation Services

    Installation services are performed by licensed contractors. Terawatt coordinates installation but does not itself perform electrical or construction work. Equipment warranties are provided by the respective manufacturers and are separate from any service guarantees offered by Terawatt.

    Timelines for permits, inspections, utility interconnection, and installation are estimates and may be affected by factors outside our control, including government processing times, weather, and equipment availability.

    8. User Conduct

    You agree not to:

    • Use the Service for any unlawful purpose
    • Attempt to gain unauthorized access to any part of the Service
    • Interfere with or disrupt the Service or its infrastructure
    • Scrape, crawl, or use automated means to access the Service without permission
    • Impersonate any person or entity
    • Upload malicious code or content
    • Use the Service to harass, abuse, or harm others

    9. Intellectual Property

    All content, software, design, trademarks, and other materials on the Service are owned by or licensed to Terawatt and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without prior written consent.

    You retain ownership of content you submit (e.g., photos, documents, electricity bills). By submitting content, you grant Terawatt a non-exclusive, royalty-free license to use, store, and process that content solely to provide and improve the Service.

    10. Privacy

    Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of your information as described therein.

    11. AI-Powered Features

    The Service may use artificial intelligence to provide chat support, generate solar designs, and assist with system recommendations. AI-generated outputs are informational and should not be relied upon as professional engineering, financial, or legal advice.

    12. Communications

    By creating an account, you consent to receive communications from Terawatt via email, SMS, push notifications, and in-app messaging related to your account and projects. You may opt out of non-essential communications through your account settings.

    13. Disclaimer of Warranties

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

    Terawatt does not warrant that the Service will be uninterrupted, error-free, or secure.

    14. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, TERAWATT LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

    Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to Terawatt in the twelve (12) months preceding the claim.

    15. Indemnification

    You agree to indemnify and hold harmless Terawatt, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

    16. Dispute Resolution

    Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in the state where Terawatt maintains its principal place of business.

    You agree to resolve disputes on an individual basis. Class actions and class arbitrations are not permitted.

    17. Termination

    Either party may terminate this agreement at any time. You may close your account by contacting support@terawattenergies.com. We may suspend or terminate your access for violation of these Terms or for any reason with reasonable notice.

    Upon termination, your right to use the Service ceases. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) will remain in effect.

    18. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Terawatt is incorporated, without regard to conflict of law principles.

    19. Severability

    If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

    20. Entire Agreement

    These Terms, together with the Privacy Policy, constitute the entire agreement between you and Terawatt regarding the Service and supersede all prior agreements.
